These Terms of Service ("Terms") are a legal agreement between you and Advancemint ("Advancemint," "we," "us," or "our"), a Canadian-owned and operated business based in Nova Scotia, Canada. They govern your access to and use of the Advancemint platform, websites, and services (together, the "Service").
By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.
1. The Service
Advancemint is a platform that helps produce career-services deliverables — such as resumes, cover letters, professional bios, and related documents — for coaching and career organizations and the job seekers they serve. We may add, change, or remove features over time.
The Service serves two kinds of users:
- Organizations — coaching and career organizations and their authorized staff who produce deliverables for their own clients; and
- Clients — individual job seekers who are introduced and served through an Organization.
2. Accounts and eligibility
- You must be at least the age of majority in your province or country of residence to use the Service.
- You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. You are responsible for all activity under your account.
- Notify us promptly at privacy@advancemint.com if you suspect unauthorized use of your account.
- If you use the Service on behalf of an Organization, you are responsible for the acts of the users you authorize.
3. Your content and rights to use it
"Your Content" means the materials you submit to the Service — such as your work history, job descriptions, notes, files, and similar information.
- You retain ownership of Your Content. You grant Advancemint a non-exclusive, worldwide licence to host, process, and use Your Content solely to operate and provide the Service to you, including generating and delivering deliverables and improving the reliability and quality of the Service, consistent with our Privacy Policy.
- Authority and consent. If you submit information about another person (for example, an Organization submitting a client's information), you represent that you have the authority and any necessary consent to do so and to have it processed as described in the Privacy Policy.
- Accuracy. You are responsible for the truthfulness of the information you submit. Deliverables reflect the information you provide.
4. Deliverables
- Ownership of outputs. As between you and Advancemint, the finished deliverables produced for you (for example, your resume document) are yours to use. Advancemint claims no ownership over the specific deliverables created for you.
- Automatically generated content. Deliverables are produced with the assistance of automated tools and may contain errors, omissions, or inaccuracies. You are responsible for reviewing every deliverable for accuracy and suitability before using it.
- No outcome guarantee. The Service does not guarantee interviews, job offers, employment, or any particular career outcome.
5. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation;
- Submit content you do not have the right to submit, or that infringes the rights of others;
- Submit false, misleading, or fraudulent information intended to deceive employers or third parties;
- Attempt to defeat, bypass, or interfere with the Service's security or access controls;
- Access another Organization's or user's data without authorization;
- Reverse engineer, scrape, or copy the Service except as permitted by law;
- Use the Service to build a competing product, or resell the Service except under a written agreement with us;
- Upload malware or disrupt the integrity or performance of the Service.
We may suspend or terminate access for violations of this section.
6. Third-party providers
The Service relies on third-party service providers to operate. How personal information is handled by us and by these providers is described in our Privacy Policy. Your use of the Service may also be subject to the applicable terms of these providers to the extent they apply to you.
7. Fees and payment
Some features of the Service may require payment. Where fees apply:
- Fees, billing frequency, and terms will be presented to you before you incur a charge.
- Unless stated otherwise or required by law, fees are non-refundable.
- We may change our fees on reasonable notice. Taxes may apply.
- Payment is processed by our third-party payment processor; you agree to their terms for that processing.
8. Intellectual property
The Service itself — including its software, design, text, and trademarks (other than Your Content and the specific deliverables created for you) — is owned by Advancemint or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding.
9. Third-party services and links
The Service may interoperate with or link to third-party services. We are not responsible for third-party services, and your use of them is governed by their own terms and privacy practices.
10. Disclaimers
THE SERVICE AND ALL DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that deliverables will be accurate or fit for any particular purpose. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVANCEMINT AND ITS OWNERS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Nothing in these Terms limits liability that cannot be limited under applicable law, including under Canadian consumer protection legislation.
12. Indemnification
You agree to indemnify and hold harmless Advancemint from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, or your breach of these Terms — except to the extent caused by our own violation of law. If you are an Organization, this includes claims arising from your handling of your clients' information.
13. Suspension and termination
- You may stop using the Service and close your account at any time.
- We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users.
- On termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive. Handling of your data after termination is described in the Privacy Policy.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to any mandatory rights you have under applicable consumer protection law, you agree to the exclusive jurisdiction of the courts located in Nova Scotia, Canada for any dispute arising out of or relating to these Terms or the Service.
16. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Advancemint regarding the Service and supersede any prior agreements, except where you and Advancemint have a separate signed agreement, which will govern to the extent of any conflict.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
